You are welcome to register as a member of [Healing Thee Consultation Company Ltd.] or [HealingThee.com] or [HealingThee] (hereinafter referred to as: the Company or we) or register to use the services, whether you are a member, a registered service seeker or a service seeking agency (agency refers to all private or non-profit organizations/venues and schools, etc. (hereinafter referred to as: agency)). “Therapist” refers to the psychological and mental health professionals on this website, including but not limited to psychiatrists, clinical psychologists, educational psychologists, marriage and family therapists, counselors, music therapists, play therapists and expressive arts therapists (hereinafter referred to as: therapists or service providers). The following are the terms and conditions that you or you (you or you refers to a therapist, member, registered service client or agency representative) must abide by for using our HealingThee.com website and the services it provides.

By visiting and using our website services, you accept and agree to be bound by our terms of agreement. The Privacy Policy is incorporated into and considered a part of the Company Agreement. In addition, when using our services, you shall also comply with other guidelines or rules of our company applicable to such services. If you do not agree to abide by the above provisions, please do not use our services.

HealingThee.com takes your privacy and security very seriously. Information regarding our company's security and privacy practices can be found in our Privacy Policy.


"Our Company's Website" refers to "HealingThee.com" and its affiliated websites.

The Company operates an online platform website that matches you with third-party help seekers or service-seeking agencies/individuals for online/physical interview consultations and/or related professional services.

This website may revise the contract content at any time, and the revised terms will be posted on this website. The new revised terms will automatically take effect seven days after being posted. Therefore, you should periodically review these Terms for changes made by HealingThee.com. If you continue to use our website or the services provided by our website after any changes to these terms, you will be deemed to have accepted such changes.


HealingThee.com Services

The Company only provides therapists with experience in relevant practical professional fields to provide services on this platform.

Most importantly, the Company enforces that every therapist on the platform must comply with the Company's privacy policy, internal policies and regulations as long as they work with the Company.

In this way, the services you provide through our platform will meet the professional standards expected of traditional face-to-face service interviews.

Therapists are independent contractors of the Platform and are neither employees, agents nor representatives of HealingThee.com. The role of our platform is limited to matching, enabling, supervision and administrative and billing services, while the therapist consultation and/or professional interview services themselves remain the responsibility of the therapist. If you want to change the originally matched help seeker or service seeking organization/person, you must inform us on our platform after the originally confirmed interview service is over so that we can make the next service arrangement directly with you.

Our company HealingThee.com only acts as a platform between service providers and users. The Company is not responsible for the quality, legality or suitability of the services provided by any service provider.

Although the Company hopes that our services will benefit you and meet your needs, you understand, agree and acknowledge that the matches provided to you by the Company's platform may not be suitable for your needs and/or ideal service solutions, and may not be suitable and/or ideal for your specific situation.

Even though the Company may have matched you with a corresponding help seeker or service seeking organization/individual and obtained your acceptance, the Company hereby reiterates and informs you that if you find that the help seeker or service seeking person matched with you is currently in the following situation, the Company does not intend or continue to provide the Company's platform and services to the help seeker or service seeking organization/individual: In or likely to be in an emergency, is ordered by a court (or any other body) to receive emergency treatment or counselling, suffers from a serious mental illness and/or has been recommended to receive psychological supervision or psychiatric care and/or has thoughts of harming himself or herself or others. Additionally, if you discover that the person you are matched with or the service provider or anyone else is in danger, seek emergency assistance immediately. If you have implemented the corresponding measures permitted by the appropriate laws and have acted within the limits of professional ethics without wilful negligence or delay, the Company and you shall not be liable for personal injury caused by the personal and physical condition of the person seeking help or service you matched, within the scope permitted by applicable laws and in any circumstances.

In addition, unless you are a professional/therapist who is supervised by the Hong Kong Government and has the right to provide drug treatment and medical services to the help-seekers or service-seeking institutions/individuals, you will not and cannot suggest, provide or recommend which drugs may be suitable for the help-seekers or service-seeking institutions/individuals through this platform and/or when providing services. However, you can notify/refer the company on behalf of the help-seekers or service-seeking institutions/individuals about the relevant services and appropriate therapists in other professional fields, and we will directly contact the help-seekers or service-seeking institutions/individuals to match suitable treatment plans in other fields.

However, finding, judging and measuring solutions that are suitable for the needs of the person seeking help or the organization/person seeking services cannot be obtained only through the information or suggestions received through our platform and/or services. You must not neglect, avoid or delay advising a client or service seeker to obtain appropriate services and care from their physician or other professional treating individual.


The rights of the company HealingThee

Right to suspend or terminate user qualifications
If a user is found to have any of the following behaviors, HealingThee has the right to suspend or terminate the user's qualifications without paying any compensation:
a) breach of the terms and conditions set out in this Agreement, or
b) engage in deceptive conduct in connection with this website (whether through conviction, settlement, insurance or escrow investigation or otherwise).

Rights to process information provided by users
HealingThee reserves the absolute and unfettered right to refuse or delete any information provided by users without any notice or compensation to any party.

Right to withdraw service provision
HealingThee reserves the absolute and unfettered right to withdraw any condition of service without any notice or compensation to the therapist. Without prejudice to this right, HealingThee reserves the right to withdraw the Services if:
a) The personal data provided by the therapist is highly likely to be inaccurate;
b) The therapist is found to have violated the terms and conditions set out in this contract, or his/her account is suspended by HealingThee in accordance with the terms of this contract;
c) HealingThee is unable to verify or authenticate any information provided by the therapist or help seeker/institution/person for any reason.

Right to refuse service
HealingThee reserves the right to stop providing services to any member or help seeker/institution/individual, and reserves the right to reject any person's application to become a member or terminate any person's membership without any explanation.

Right to vary charges
The charges for the use of the Services are set out in the Therapist Fee Statement, which is incorporated into this Agreement and is deemed to constitute a part of it. HealingThee reserves the right to change the fees at any time. All users must check the fee schedule before each use of the service. The Company will not be responsible for any bank charges incurred by you for receiving funds if they are charged by your bank.

Right to add to or delete from this contract
HealingThee reserves the right to add or delete this agreement at any time without prior notice to members. Members must review this agreement at any time to ensure that they are aware of the latest membership terms and conditions.


Member Service Terms and Conditions and Statements to Service Providers

As an online trading platform, the Company's sole responsibility is to match therapists and help seekers, institutions/individuals, etc., so that therapists can provide emotional and/or psychiatric treatment and other related services to help seekers or institutions/individuals. "The three-party relationship between the therapist, the client/institution/individual and our company HealingThee" means that the relationship between the therapist and the client or institution/individual is a service cooperation relationship, which is only an independent cooperation contract and there is no employment relationship; the therapist and our company HealingThee also only have a relationship of service provider and service user, and there is no employment relationship between the two parties. The service has nothing to do with "job introduction". Therefore, our company HealingThee has the right to charge administrative fees based on the "Therapist Terms" agreed upon by our company and the therapist. Successful registration means that the therapist agrees to all the terms. The content of the "Therapist Terms" is equivalent to the contract between our company HealingThee and the therapist, and any rules or instructions listed on our company HealingThee website are part of the member contract and members must abide by them.


Therapist's basic responsibilities
If you, as a therapist, confirm that you have accepted the case from our company HealingThee, you must do your best to provide treatment in accordance with the instructions issued by our company HealingThee and the professional code of conduct of your industry. Treatment must be completed on time and on schedule, and time should not be reduced without reasonable circumstances.

You agree to authorize the Company to use your "Registration Information" for promotional purposes of this site without being restricted by any laws.

You also agree that the Company may display the "Registration Information" in part or in full when necessary, without being restricted by any copyright laws and Personal Data (Privacy) Ordinance.

You agree not to use any tools, software or procedures to interfere with the normal operation of our website server, nor will you intentionally or systematically overload the system of this site. At the same time, you must keep your member login name and password safe to prevent others from stealing your account.

You may not transmit any computer viruses or destructive programs to our website and all members of our website. You agree not to pursue any losses caused by the failure of our website system. Our website will try its best to maintain the reliability of the system and maintain good efficiency. You may not use any of the services on our website to engage in any illegal or immoral conduct.


Therapist's responsibility to provide accurate information
If the therapist fails to provide correct information, or the treatment service is terminated due to failure to provide correct information, HealingThee may refuse to provide services to the therapist and may also charge administrative fees and litigation costs incurred.


Therapist's liability arising from withdrawal of a case
After the case has been confirmed, if the therapist decides to cancel the treatment or service provided to the relevant client/institution/person, the therapist must not transfer the client/institution/person’s information to anyone else.


Therapist Liability for Deceptive Conduct
If the therapist is confirmed, or HealingThee believes or discovers that the instructor is very likely to collude with the help-seeker/institution/individual to engage in any deceptive behavior, including when the therapist is still providing relevant services to the help-seeker/institution/individual, any of them falsely reports to HealingThee that the service has been terminated, HealingThee will immediately terminate the membership of the therapist. And the relevant persons are required to pay all relevant fees within seven days. Even if the client/institution/person decides to terminate the service, the therapist still needs to pay the full service fee. HealingThee reserves all rights to pursue criminal and civil actions and will not tolerate any deceptive behavior.

Services are provided on an "as is" basis
HealingThee provides this website on an "as is" basis. The only obligations of HealingThee are those set out in this contract. Except for those matters expressly set out in this contract, HealingThee does not make any express or implied warranties or conditions. HealingThee does not warrant that the functions provided by this website and the services provided will be uninterrupted or error-free, that problems will be corrected or that this website or its server will be free of viruses or other harmful elements. HealingThee does not warrant or make any representations regarding the user or the results of the user's use of this website.

Responsibility for providing payment mechanism
The payment mechanisms and supporting payment processing facilities provided to users are for the convenience of users only. HealingThee does not provide any express or implied warranties regarding such facilities. In any event, HealingThee shall not be liable for any losses, damages, costs or expenses suffered or incurred by the User arising from or as a result of any errors and/or mistakes and/or erroneous monthly statements deducted or credited to the credit card account, any malfunction, failure, interruption, downtime, interference, miscalculation, delay, inaccuracy, loss or data corruption or any other failure of the payment channel facilities. According to the Hong Kong Special Administrative Region's laws governing the regulation and enforcement of online industries/e-commerce, Internet commerce is subject to the same legal constraints and protections as other industries. Therefore, a therapist's online registration is no different from a physical contract in legal terms. A therapist who falsifies information during registration/commits fraud/colludes with a client to commit fraud will be considered a criminal act. Our company, HealingThee, will never fail to pursue legal action due to a therapist’s lack of knowledge of the law. The company will not tolerate any illegal behavior by therapists listed above or not listed above. The therapist's IP address when registering and every subsequent action will also be recorded. Our Company HealingThee We will also record and back up the conversations with the therapist when necessary, and use such information as evidence when necessary. Therapists should not ruin their future due to momentary greed. Therapists must be responsible for their own "registration information", and our website is only a passive data collection and transmission intermediary.
"Registration information" must be ethical and must not violate any laws. It must not contain any content that infringes on privacy rights or has discriminatory elements. If the Company believes that your "Registration Information" will have a negative impact on any person or organization/individual, the Company reserves the right to take legal action. The Company also has the right to stop displaying your "registration information" to all authorized viewers (including yourself) and permanently delete your membership.


Basic administrative coordination with therapists
After each interview with the client is completed, HealingThee will arrange the next interview with the client (except for special circumstances: such as case completion, referral or other reasons that make it impossible to continue the interview). The therapist needs to upload the completed simple interview report within 12 hours after the interview is completed. Please fill in the date, time and format of the next interview in the interview report so that our company has enough time to handle administrative and payment matters before the next interview date between you and the person seeking help, so as to ensure smooth service. Interviews include but are not limited to online appointments, in-person appointments, or voice conversations over the telephone (except telephone conversations which cannot be recorded), and all require audio and video recording.


Fees earned from providing services
The charges for the use of the Services (“Charges”) are set out in the “Therapist Fees” which are incorporated into the Company’s Contract and are deemed to form part of the Contract. HealingThee reserves the right to change the relevant fees at any time, and the new fees will take effect on the specified date (the effective date will be within seven days after the revised fee schedule is posted on the website). All users must check the fee schedule before each use of the service.

Therapist Registration and Membership
Professionals in various fields: need to pay the first year membership registration fee, details are as follows:

a) The first-time partner registration is eligible for a trial of the platform. The registration fee is waived until the first help-seeker is assigned for an interview. The membership fee for a period of 1 year will be calculated from that date. The system will automatically generate a payment notice to your email and electronic communication software, and you need to pay it within 7 days.
– Category A professionals (whose payment per treatment is HK$1,000 or above, the first registration fee is HK$1,800)

– Category B professionals (whose payment per treatment is HK$999 or below, the first registration fee is HK$800)

b) After the registration fee is received, HealingThee will arrange the administrative and fee matters before the second help seeker or the second interview date for you.
c) The system will send a reminder to pay the new year's membership fee on or before the 335th day (30 days before the due date), and then remind you 7 days before the due date (358 days before the due date) if you still have not paid or request to arrange an appointment with the company.

Charging model
Therapists must pay the registration or membership fee via online transfer. Please be sure to keep the online receipt and take a photo or scan it for your records, and cooperate with our HealingThee staff to verify the case number.

Special circumstances
If the therapist fails to conduct or complete the treatment on the first scheduled treatment date for any reason, the company will not charge any additional fees. The handling fee will only be waived if you can report to our platform within 72 hours and reschedule the treatment date and time. Otherwise, a HK$500 administration fee will be charged. Regardless of whether either party proposes to cancel the treatment course, the therapist must promise not to provide the same or similar treatment or related services to the client/institution/person within 12 months unless introduced again by our company HealingThee.
Regardless of whether the therapist obtains the help-seeker/institution/person’s introduction through any other means or directly contacts the help-seeker/institution/person before or after the introduction provided by HealingThee, the therapist cannot provide treatment or related services to the help-seeker/institution/person.

The therapist cannot refer the help-seeker/institution/person’s information to a third party or refer other treatment information to the help-seeker/institution/person. If it is found that the therapist has not paid the listed fees or has provided treatment or related services and the above-mentioned referral information to the client/institution/person without the written consent of the company, in addition to terminating the cooperation, the company will handle the losses incurred by the company and all legal liabilities through normal legal channels. We also reserve the right to charge all costs including but not limited to document delivery, invoices, evidence collection and related legal fees and losses of the company. All the above fees are payable immediately.


Protecting the privacy of customers/service seekers

In accordance with the policies of HealingThee.com and the therapists' professional codes of conduct, therapists must ensure the privacy of all information provided by clients/service seekers (i.e. actual clients of the Company and website users), including but not limited to any private messages and/or information during the interview and/or treatment process. Except for our company, it is absolutely not allowed to disclose the personal privacy information/data mentioned above or not listed to any third party. Confidentiality of fees and terms of service

In accordance with HealingThee.com's confidentiality policy, therapists must ensure that the terms and fees negotiated and/or agreed upon and accepted by the Company and you remain confidential. Except for our company, it is absolutely not allowed to disclose the charging arrangements mentioned above or not listed to third parties/help seekers or service seeking agencies/individuals. Third Party Content

The Platform may contain other content, products or services provided or offered by third parties ("Third Party Content"), links to Third Party Content (including but not limited to links to other websites), or advertising content related to third parties. We are not responsible for the creation of any such Third Party Content, including (but not limited to) any related products, practices, terms, or policies, and we are not liable for any damages or losses resulting from any Third Party Content.

Disclaimer and Limitation of Liability

You hereby indemnify us and agree to hold us harmless from any actions and claims of any nature arising out of the Platform and/or Services, including (but not limited to) any actions, suggestions, information, omissions, opinions, responses, recommendations, information and/or services of any provider and/or any other content or information accessed through the Platform.

You understand, agree and acknowledge that the Platform and Services are provided "as is" without any express or implied warranties of any kind, including (but not limited to) accuracy, fitness for a particular purpose, merchantability, non-infringement or security. Your use of the Platform and Services is at your own risk. To the extent permitted by law, we expressly disclaim all warranties of any kind, whether express or implied.

You understand, agree and acknowledge that we shall not be liable to you or any third party for any direct/indirect, punitive and/or exemplary damages.


We do not guarantee that:

The accuracy, quality, completeness or reliability of the Platform, Information and any products provided by third parties;

The website and the information will be error-free, virus-free, uninterrupted or free from unauthorized use or hacking

The quality of any products and/or services provided by third parties.

If applicable law does not allow the foregoing limitation of liability, the limitation will be deemed modified only to the extent necessary to comply with applicable law.

This company disclaimer is governed by the laws of [country or region]. In case of any dispute, both parties agree to submit to the competent court of [country or region].

This Section (Limitation of Liability) shall survive any termination or expiration of this Agreement.


Your actions and statements

You hereby confirm and agree that all information you have provided or will provide on or through the Platform and/or throughout the Services, in particular any contact details and emergency contact details, is accurate, complete, true and does not exist in any form. Furthermore, you agree that, during the term of this Agreement, you will ensure that this information is maintained and updated so that it continues to be accurate, complete, truthful and not misleading in any way. Providing incorrect or incomplete information may result in us being unable to provide you with appropriate services, and we reserve the right to suspend or terminate your account without compensation.

You agree, acknowledge and verify that you are responsible for maintaining the confidentiality of your password and any other security information associated with your account (collectively, "Account Access"). We recommend that you change your password frequently and take extra care to protect your password.

You agree to notify us immediately of any unauthorized use of your account access or any other breach of your account security.

You agree, confirm and acknowledge that we are not responsible for any loss or damage caused by someone else using your account, either with or without your knowledge and/or consent.

You agree, acknowledge and agree that you are fully responsible for all activities that occur using your account access rights. You further acknowledge and agree that we will hold you responsible for any damage or loss resulting from anyone using your account access, whether or not authorized by you, and you agree to indemnify us for any such damage or loss.

You agree and undertake not to use any other person's account or account access for any reason.

You agree and acknowledge that your use of the Platform and/or Services is for your personal use only and that you are not using the Platform and/or Services for or on behalf of any other individual or organization.

You agree and undertake not to (or attempt to) interfere with or disrupt any of our systems, services, servers, networks or infrastructure, including (but not limited to) gaining unauthorized access to the foregoing.

You agree and undertake not to use the Platform to carry out any communications (by delivering, sending and/or posting): (a) unsolicited emails and/or advertisements or promotions of goods and services; (b) malicious software or code; (c) illegal, harassing, invasive of privacy, abusive, threatening, vulgar, obscene, racist or potentially harmful content; (d) any content that infringes the rights of a third party (including intellectual property rights); (e) any content that may cause damage to a third party; (f) any content that may constitute, cause or encourage a criminal offense or violate any applicable law.

You agree and undertake not to violate any applicable local laws, regulations or ethical codes in connection with your use of the Platform and Services.

If you receive any document from us, whether through the Platform or not, you are responsible for checking and scanning the document for any viruses or malware before opening or using it.

You will indemnify, defend and hold us harmless from and against any and all claims, losses, causes of action, demands, liabilities, costs or expenses (including, without limitation, litigation and reasonable attorneys’ fees and expenses) arising out of or relating to any of the following: (a) your access to or use of the Platform; (b) any actions taken by you or others regarding your account or account access; (c) your breach of any term of this Agreement; (d) nonpayment of the fees for any services provided through the Platform (including the Service); and/or (e) your violation of any third-party rights. This clause shall survive the expiration or termination of this Agreement.

You acknowledge and agree that all payment-related information you provide and will provide in the future to or through the Platform and Services is accurate, correct and current and will continue to be accurate, correct and current.

You agree to pay membership fees associated with use of the Service on a timely basis according to our established schedule. By providing us with your payment method, you authorize us to charge you through that payment method, and you agree to maintain valid payment method information.

If you deal or otherwise come into contact directly with any of our help seekers or service seekers, we will not be responsible for any matters, disputes or losses and damages arising out of any such direct dealings between you and any help seeker or service seeker. If the therapist provides treatment to you or obtains related services and referral information without the Company's consent or written consent, the Company will pursue the therapist for breach of this contract. In addition to terminating the cooperation, the Company will handle the losses incurred by the Company and all legal liabilities through normal legal channels. Please consider carefully the legal liabilities you may face.


Modification, termination, interruption and destruction of this platform

You understand, agree and acknowledge that we may modify, suspend, interrupt or terminate the Platform and/or Services, or any part of the Platform and/or Services, at any time, whether for all customers or specifically for you, with or without notice to you. You agree and acknowledge that we are not responsible for any of the above actions or for any loss or damage caused by any of the above actions.

While we make commercially reasonable efforts to ensure the accessibility and reliability of the Platform and Services, you understand and agree that none of the foregoing is 100% accessible and/or reliable, and therefore we cannot guarantee that access to the Platform and/or Services will be uninterrupted, always accessible, consistent, timely, or error-free.

The Company shall not be liable for any direct, indirect, incidental, special or consequential damages arising from the use of the Company's platform, including but not limited to lost profits, loss of data or other irreparable loss.


Requirements for users of this service

You should be at least 18 years old to use our services.

If you are using the Platform and/or Services on behalf of your company or organization, you represent that you have the authority to act on behalf of that entity and that that entity accepts this Agreement.

Notify

We reserve the right to determine the form and method of communication for each type of notice given under this Agreement. Unless otherwise stated, you will be deemed to have received any notice from us immediately upon our sending it to the communication method you provided to us when you registered for the Platform and/or Services or notified to us in the notice. At the same time, he expressed that he could accept this approach.

Notices to us must be sent by email to enquiry@healingthee.com. We will not be deemed to have received your instructions or communications unless we send them in the manner specified by us from time to time after we actually receive them. Instructions or communications you send to us will be deemed to have been received by us on the date we actually receive them.


Replenish

You may not infringe or assist in the infringement of HealingThee.com's intellectual property rights (including but not limited to copyrights, patents, trademarks and database rights); HealingThee.com owns all intellectual property rights in the content, postings, photos, images, videos, graphics and layout contained on this website; and you may not use any such content for any other purpose.

This Agreement and our relationship with you shall be construed solely in accordance with the laws of Hong Kong, excluding any rules governing choice of law.

These Terms, together with our Privacy Policy and Amendment, Cancellation and Complaints Policy and the other documents referred to herein and in the Application Form, contain the entire agreement and understanding between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings and conditions of any nature, express or implied, oral or written, relating to the subject matter hereof. The express terms of this Agreement control and supersede any performance and/or use process of the Platform and/or Services that is inconsistent with any terms of this Agreement.

We may change this Agreement by posting a revised version on the Platform. Unless we indicate otherwise, all modifications are effective upon posting. By using the Platform after the changes become effective, you agree to be bound by the changes to the Agreement. If you do not agree to the changes, you must stop using the Platform and Services.

We may freely assign or transfer our rights and obligations under this Agreement.

If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, void, unenforceable or contrary to law, then the relevant provision shall be severed from these Terms and the remaining provisions of this Agreement shall remain in full force and effect.

All provisions concerning limitation of liability and indemnification shall survive any termination or expiration of this Agreement.

Privacy policy

It is the policy of HealingThee.com to ensure that all information provided by our clients (both actual clients of our company and users of our website) is kept confidential. When customers browse our website, we will not collect any information that can be used to identify the visitor ("personal information"). When clients make inquiries or submit applications for services provided by our company HealingThee.com, they are required to submit certain personal data. In this case, customers will receive the relevant "Personal Information Collection Statement" and understand the purpose and use of the company's collection of such information (including the scope of transmission and publication of such information). Customers also have the right to review and modify such personal information. Some websites set up Cookie files, the purpose of which is simply to make it more convenient for customers to log in to the same website next time. After the Company obtains the customer's personal information, it will be securely stored in the Company's computer system. Only authorized staff who have received relevant professional training can access this personal data. Without the customer's consent, our company will never disclose this personal information. However, the Company may, based on the customer's personal information, send direct marketing messages to customers from time to time to introduce the Company's products and services. If the client notifies the Company in writing or by email that he/she no longer wishes to receive these messages, the Company will immediately stop sending them. In the process of direct marketing, customers can choose to "opt out of receiving service". The company will do its best to ensure that the privacy of its customers is properly protected. Personal Data Collection Statement
